This is an agreement between Management Design, LLC (Management Design) and the medical practice (Practice) named below for Management Design to provide consulting services to the Practice.

Management Design will analyze issues submitted by the Practice and respond
to the Practice with recommendations. |
| Management Design Fees: | Twenty-five
dollars ($25) per ten (10) minute increments. |
| Management Design Billing: | Monthly. |

Invoices are payable upon receipt, and finance charges will be determined by applying one and one-half percent (1-1/2%) per month to any balance unpaid thirty (30) days or more. A. Confidentiality. The parties shall treat all information pursuant to this Agreement as confidential. Such information shall not be disclosed to any persons or entries other than the parties and their authorized representatives without the express written consent of the non-disclosing party.
B. Legal and/or Accounting Matters. Management Design and its consultants are not licensed, certified, or otherwise legally entitled to practice law or accountancy. Therefore, were questions of a specific legal and or accounting nature are involved in implementing any of the recommendations, appropriate counsel must be sought by the Practice.
C. Billing. Unless otherwise stated in project proposals, Management Design will bill hourly work monthly and the total due will be payable upon receipt. Finance Charges will be determined by applying one and one-half percent (1-1/2%) perm month to any unpaid balance of thirty (30) days or more. Management Design out-of-pocket expenses are in addition to professional fees and will be billed on the same basis as above.
D. Disputes. All work by Management Design will adhere to the Management Design Compliance Plan. The Practice agrees to adhere to the Management Design Compliance Plan as a condition of this Agreement. Any dispute involving this Agreement shall be resolved or litigated in El Paso County, Colorado or in the Denver Federal District Court in the case Federal jurisdiction applies.
E. Force Majeure. Management Design is not responsible for any delay caused by activities or factors beyond Management Design's reasonable control, including, but not limited to, delays by reason of strikes, lockouts, work slowdowns or stoppages, accidents, interrupted lines of communication, acts of God, failure of the Practice to furnish timely information or approve or disapprove Management Design's work promptly, faulty performance by the Practice or other contractors or governmental or regulatory agencies. When such delays occur, the Practice agrees Management Design is not responsible for any damages caused thereby nor shall Consultant be deemed to be in default of this Agreement.
F. The terms and enforcement of this Agreement shall be interpreted according to the laws of the State of Colorado.
